Terms of Service
Effective date: March 25, 2026
1. Agreement
These Terms of Service ("Terms") are a legal agreement between you and Gallantic Inc.
("Gallantic," "we," "us," "our"). By accessing or using the Citadel platform, you
agree to be bound by these Terms. If you do not agree, do not use the platform.
If you are using the platform on behalf of an organization, you represent that you
have the authority to bind that organization to these Terms, and "you" refers to both
you individually and that organization.
2. Description of Service
Citadel is a suite of business productivity applications provided as a software-as-a-service
(SaaS) platform. The platform consists of the following applications:
- Citadel Auth — centralized identity provider handling single sign-on, passkey authentication, and two-factor authentication across the platform.
- Citadel Support — customer support ticketing and helpdesk, including SLA tracking, customer portals, and knowledge base management.
- Citadel Time — time tracking, timesheets, project management, leave management, and utilization reporting.
- Citadel Contracts — contract and proposal lifecycle management, including document generation, clause libraries, approval workflows, and electronic signatures.
- Citadel Invoice — invoicing, quoting, payment processing, recurring billing, and financial reporting with Stripe integration.
- Citadel Engage — managed services engagement management, including assessments, KPI tracking, questionnaires, and service-level reporting.
- Citadel Events — event creation and management, session scheduling, attendee registration, and invitation handling.
Not all applications may be available to you. Access depends on your subscription and
your organization's configuration.
3. Account Registration
To use the platform, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information.
- Keep your login credentials confidential and secure.
- Notify us promptly if you suspect unauthorized access to your account.
- Accept responsibility for all activity that occurs under your account.
We recommend enabling two-factor authentication (TOTP or passkey) for all accounts.
Organization administrators may require it.
4. Acceptable Use
You agree not to:
- Use the platform in any way that violates applicable laws or regulations.
- Attempt to gain unauthorized access to any part of the platform, other accounts, or systems connected to the platform.
- Interfere with or disrupt the platform's infrastructure, services, or other users' use of the platform.
- Upload, transmit, or distribute malicious code, viruses, or any content intended to harm the platform or its users.
- Reverse engineer, decompile, or disassemble any part of the platform's software.
- Resell, sublicense, or redistribute access to the platform without our prior written consent.
- Use the platform to send unsolicited communications or spam.
- Scrape, crawl, or use automated means to extract data from the platform beyond what is provided through our APIs.
We reserve the right to suspend or terminate accounts that violate these rules.
5. Organization Accounts
The platform supports multi-tenant organization accounts. Organization administrators
are responsible for managing their organization's membership, data, and settings.
- Administrators control who can join the organization and what permissions members have.
- Administrators may configure integrations, webhooks, and SSO policies for their organization.
- Users may belong to more than one organization. Each organization's data is kept separate.
- When an administrator removes a member from an organization, that member loses access to the organization's data.
Gallantic is not responsible for decisions made by organization administrators
regarding membership, permissions, or data management within their organization.
6. Data Ownership
Your data is yours. You retain full ownership of all content, documents,
records, and data that you or your organization create, upload, or store on the platform.
We claim no ownership rights over your data.
You grant us a limited license to host, store, process, and display your data solely
for the purpose of providing the platform's services to you. This license ends when
you delete your data or terminate your account.
We may use aggregated, anonymized data (from which no individual or organization can
be identified) to analyze usage patterns and improve the platform. This anonymized
data cannot be traced back to you.
7. Intellectual Property
The Citadel platform, including its software, design, user interface, documentation,
logos, and trademarks, is owned by Gallantic Inc. and is protected by Canadian and
international intellectual property laws.
These Terms grant you a limited, non-exclusive, non-transferable right to access and
use the platform for your internal business purposes during the term of your
subscription. You may not:
- Copy, modify, or create derivative works of the platform's software or design.
- Remove or alter any proprietary notices or labels on the platform.
- Use the Gallantic or Citadel name, logo, or branding without our written permission.
8. Payment Terms
Certain features of the platform, including payment processing through Citadel Invoice,
are subject to fees. Where fees apply:
- Fees are as specified in your subscription agreement or as displayed within the platform.
- Payment processing is handled by Stripe. By using payment features, you also agree to Stripe's terms of service.
- All fees are stated in the currency specified in your agreement and are exclusive of applicable taxes unless stated otherwise.
- We will provide reasonable notice before changing fees. Fee changes take effect at the start of your next billing period.
- Refunds are handled in accordance with your subscription agreement and applicable law.
9. Service Availability
We strive to maintain high availability of the platform, but we do not guarantee
uninterrupted or error-free service. The platform may be temporarily unavailable due
to:
- Scheduled maintenance, which we will communicate in advance when possible.
- Urgent security patches or infrastructure updates.
- Circumstances beyond our reasonable control, including internet disruptions, hardware failures, or force majeure events.
We are not liable for any loss or damage resulting from service interruptions or
downtime.
10. Limitation of Liability
The platform is provided "as is" and "as available," without
warranties of any kind, whether express or implied, including implied warranties of
merchantability, fitness for a particular purpose, or non-infringement.
To the maximum extent permitted by law:
- Gallantic is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the platform.
- Gallantic's total cumulative liability for all claims related to the platform is limited to the total fees you paid to Gallantic in the twelve (12) months immediately preceding the event giving rise to the claim.
- If you have not paid any fees, our maximum liability is one hundred Canadian dollars (CAD $100).
Some jurisdictions do not allow the exclusion of certain warranties or limitations on
liability. In those jurisdictions, our liability is limited to the greatest extent
permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Gallantic Inc., its officers,
directors, employees, and agents from and against any claims, liabilities, damages,
losses, and expenses (including reasonable legal fees) arising from:
- Your use of the platform.
- Your violation of these Terms.
- Your violation of any applicable law or regulation.
- Content you upload or transmit through the platform.
- Your infringement of any third party's rights.
12. Termination
Either party may terminate the relationship at any time:
- You may stop using the platform and request account deletion at any time by contacting us or using account settings.
- We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the platform (with reasonable notice).
Upon termination:
- Your data will be retained for 30 days to allow you to export it.
- After the 30-day retention period, your data will be permanently deleted from our systems.
- Any provisions of these Terms that by their nature should survive termination (including limitation of liability, indemnification, and governing law) will continue to apply.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province
of Ontario and the federal laws of Canada applicable therein, without regard to
conflict of law principles.
Any dispute arising from or related to these Terms or your use of the platform shall
be resolved exclusively in the courts located in the Province of Ontario, Canada. You
consent to the personal jurisdiction of those courts.
14. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will
provide at least 30 days' notice before the changes take effect.
Notice may be provided by email, by posting a notice within the platform, or by
updating the "Effective date" at the top of this page.
Your continued use of the platform after the effective date of revised Terms
constitutes your acceptance of the changes. If you do not agree with the revised
Terms, you should stop using the platform before they take effect.
